Terms of Service

1. Agreement to Terms

By accessing or using Chef Pauly ("the Service"), you agree to be bound by these Terms of Service. Please read them carefully before using the Service. If you do not agree to any part of these Terms, you must not use the Service.

2. Description of Service

Chef Pauly is a kitchen intelligence platform designed for Australian hospitality businesses. The Service provides menu costing, catering operations management, AI-assisted business tools, and related features to help operators understand their food costs, manage catering jobs, and run their businesses more profitably.

The Service is provided by Chef Pauly Pty Ltd (ABN to be inserted), a company incorporated in Victoria, Australia.

3. Accounts and Access

To use the Service you must create an account. You agree to provide accurate, current, and complete information when registering and to keep that information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must be at least 18 years of age to use the Service. One person or legal entity may not maintain more than one free trial account. If we discover duplicate trial accounts, we reserve the right to terminate the additional accounts.

4. Subscriptions and Billing

Access to the full Service requires a paid subscription, billed monthly or annually in Australian dollars (AUD) inclusive of GST where applicable. All payments are processed securely through Stripe. By providing payment details, you authorise us to charge your nominated payment method for the subscription fees on the applicable billing cycle.

We may change subscription prices from time to time. Where a price increase applies to your plan, we will provide at least 30 days' notice via email or in-app notification before the new price takes effect. Annual subscriptions are non-refundable except where required by the Australian Consumer Law.

5. Free Trial

New accounts receive a 14-day free trial of the Service. No credit card is required to start a trial. At the end of the trial period, continued access requires a paid subscription. We reserve the right to modify or discontinue trial offers at any time without notice.

6. Cancellation

You may cancel your subscription at any time from your billing settings. Cancellation takes effect at the end of your current billing period, after which you will retain access to the Service until that period expires. We do not offer prorated refunds for partial months or the unused portion of an annual plan, except where required by Australian Consumer Law.

7. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. Without limiting the foregoing, you agree not to use the Service to: violate any applicable law or regulation; infringe the intellectual property rights of any person; transmit malicious code, viruses, or other harmful software; attempt to gain unauthorised access to any computer system or network; or resell, sublicense, or otherwise exploit the Service for commercial purposes without our prior written permission.

8. Your Data

You retain full ownership of all data, content, and information that you input into Chef Pauly, including your recipes, dishes, ingredient prices, client information, and business data. By using the Service, you grant Chef Pauly Pty Ltd a limited, non-exclusive licence to store, process, and use your data solely for the purpose of providing the Service to you. 9. AI Features

Chef Pauly includes AI-powered features that generate suggestions, draft communications, and provide business analysis. These outputs are provided as assistance only and may not always be accurate, complete, or appropriate for your circumstances. You are solely responsible for reviewing and verifying any AI-generated content before acting on it or sharing it with third parties.

AI outputs do not constitute legal, financial, accounting, or other professional advice. You should seek qualified professional advice before making decisions based on information generated by the Service.

10. Intellectual Property

The Service, including all software, designs, trade marks, interfaces, and content created by Chef Pauly, is owned by Chef Pauly Pty Ltd and is protected by Australian and international copyright and intellectual property law. Nothing in these Terms grants you any right to use our trade marks, logos, or brand features without our prior written consent.

If you provide feedback, suggestions, or ideas about the Service, you acknowledge that we may use that feedback to improve the Service without any obligation or compensation to you.

11. Limitation of Liability

To the maximum extent permitted by Australian law, Chef Pauly's total liability to you for any claim arising out of or in connection with your use of the Service is limited to the amount you paid for the Service in the three months immediately preceding the event giving rise to the claim. We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption, whether arising from contract, tort, or otherwise.

12. Australian Consumer Law

Nothing in these Terms is intended to exclude, restrict, or modify any rights you may have under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) or any other applicable consumer protection legislation that cannot lawfully be excluded. Where the Australian Consumer Law applies and we are liable to you, our liability is limited to resupplying the relevant service or paying the reasonable cost of having that service resupplied.

13. Changes to Terms

We may update these Terms from time to time. Where we make material changes, we will notify you at least 14 days in advance via email or in-app notification. Your continued use of the Service after the notice period constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription before the changes take effect.

14. Governing Law

These Terms are governed by the laws of Victoria, Australia. Any dispute arising out of or in connection with these Terms or your use of the Service will be subject to the exclusive jurisdiction of the courts of Victoria, and the parties irrevocably submit to that jurisdiction.
